Terms and Conditions

1. Introduction

Welcome to FujiCommerce. These Terms and Conditions (“Terms”) govern access to and use of the FujiCommerce website, platform, and related services (“Platform”).

By accessing or using FujiCommerce, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Nature of Service

FujiCommerce Ltd is an e-commerce enablement platform that:

• Enables Sellers to list and sell products.
• Facilitates payment processing through Paystack.
• Coordinates logistics through third-party logistics partners.
• Maintains seller dashboards and balance records.
• Charges commission based on seller tier.

FujiCommerce is not the manufacturer of products listed by sellers.

3. Eligibility

You must:

• Be at least 18 years old.
• Be legally capable of entering a binding contract.
• Operate within Nigeria (Platform currently restricted to Nigeria).

4. Accounts

4.1 Sellers

• Seller accounts are mandatory to list products.
• Sellers must provide accurate business and bank details.
• Sellers are responsible for maintaining account confidentiality.

4.2 Buyers

• Buyer accounts are optional.
• Buyers may check out as guests.
• Buyers are responsible for providing accurate delivery details.

5. Seller Tiers & Commission

FujiCommerce charges commission per successful sale as follows:

• Starter Tier 7% commission
• Growth Tier 5.5% commission
• Pro Tier 4.5% commission

Commission is deducted automatically before the seller balance is updated.

FujiCommerce reserves the right to modify tier pricing with prior notice.

6. Payments

• Payments are processed securely via Paystack.
• FujiCommerce does not store card details.
• Seller balances are reflected in their dashboard.
• Sellers may initiate withdrawals.
• Payouts are processed via Paystack Transfer API.
• Processing timelines may vary depending on banking systems.
• FujiCommerce is not liable for delays caused by financial institutions.

7. Logistics

• Delivery is handled by third-party logistics partners.
• Delivery timelines are estimates.
• FujiCommerce is not liable for delays caused by logistics partners beyond reasonable control.
• Risk passes to the buyer upon confirmed delivery.

8. Seller Responsibilities

Sellers agree:

• Not to sell illegal, counterfeit, or prohibited goods.
• To provide accurate product descriptions.
• To fulfill orders promptly.
• To comply with Nigerian consumer protection laws.

FujiCommerce reserves the right to suspend sellers violating policies.

9. Refunds & Disputes

Refund eligibility depends on:

• Product condition.
• Seller policy.
• Consumer Protection Act provisions.

FujiCommerce may mediate disputes but is not automatically liable for seller misconduct.

10. Prohibited Use

Users must not:

• Commit fraud.
• Abuse payment systems.
• Interfere with platform security.
• Use the platform for unlawful activities.

Violations may result in suspension or legal action.

11. Limitation of Liability

To the maximum extent permitted under Nigerian law, FujiCommerce shall not be liable for:

• Indirect or consequential damages.
• Loss of profit.
• Delays caused by third parties.
• Force majeure events.

Total liability shall not exceed fees earned from the transaction in dispute.

12. Intellectual Property

All content, branding, logos, and software belong to FujiCommerce Ltd.

Unauthorized reproduction is prohibited.

13. Termination

FujiCommerce may suspend or terminate accounts for:

• Breach of these Terms.
• Fraudulent activity.
• Regulatory requirements.

Users may deactivate their accounts upon request.
